Perma-Pipe consolidates global credit into US$89m JPMorgan facility with US$50m accordion

Perma-Pipe International Holdings has consolidated multiple financing arrangements across its international operations into a single JPMorgan-led structure, establishing US$89m of base committed facilities with capacity to request up to another US$50m.

The new package comprises a US$75m revolving credit facility and US$14m term loan. It replaces credit lines maintained by Perma-Pipe and its subsidiaries across different jurisdictions and is intended to centralise the group’s banking and treasury structure as its international project activity expands.

The revolver includes up to US$30m of letter-of-credit availability and a US$5m swingline sublimit. In addition, the agreement contains an accordion allowing Perma-Pipe to request as much as US$50m of additional revolving commitments or incremental term loans.

That means the frequently quoted US$139m figure should not be treated as committed funding at close. Initial committed capacity is US$89m. The remaining US$50m is incremental capacity that can potentially be added under the agreement, subject to its terms.

Perma-Pipe said the financing will support working capital, letters of credit, strategic investment and expansion. The group manufactures engineered piping and leak-detection systems for energy, infrastructure and industrial customers, with operations spanning North America, the Middle East, North Africa and India.

The consolidation matters because an international project-based manufacturer can otherwise accumulate separate local borrowing arrangements, guarantees and LC facilities across subsidiaries. Moving those relationships into a common framework can make availability and treasury management easier to control while creating a larger central liquidity pool.

The facility also replaces a more temporary stage of Perma-Pipe’s financing. Earlier this year the group had put a US$18m JPMorgan asset-based revolver in place while working towards a broader global banking solution. The new agreement shifts the financing from that bridge structure into a longer-term centralised platform.

Perma-Pipe’s filed credit agreement is dated 25 August, with the closing announced on 27 August. The transaction therefore represents a completed refinancing rather than a proposal, while the US$50m accordion remains potential rather than funded capacity.
